Terms of Service
These terms cover two things: your use of this website, and the general basis on which Code Vibe Digital takes on client work. Where a signed project agreement exists, that agreement governs the project and this page fills the gaps.

About the studio
Code Vibe Digital is a digital product studio based in Alappuzha, Kerala, India. We design and build websites, web applications, mobile applications, custom software and ecommerce systems, and we provide SEO, digital marketing and website maintenance. Every enquiry channel published on this site reaches the same Kerala studio. The studio has no branch, local entity or local staff in the UAE, Saudi Arabia, Malta, Mauritius or anywhere else outside India; work for those markets is delivered remotely.

Using this website
- The content on this site — copy, case material, articles, design and code — is owned by or licensed to Code Vibe Digital. You may read it, link to it and quote short passages with attribution.
- You may not reproduce substantial parts of it, resell it, present it as your own, or scrape it to build a competing service without written permission.
- The contact form is for genuine project enquiries. Submitting bulk, automated, abusive or fraudulent content is prohibited, and submissions are rate-limited and validated accordingly.
- The site is provided as is. We work to keep it accurate and available, but we do not warrant that every page will be error-free or uninterrupted.
How an engagement begins
An enquiry sent through this website is not a contract, and neither is a discussion, an estimate or a call. An engagement begins only when both sides have agreed a written scope and the commercial terms, and the client has confirmed them in writing — usually by email or a signed document.
That written scope is the binding document for the project. It states what is included, what is explicitly excluded, the timeline, the deliverables and the fees. Where the written scope and this page differ, the written scope wins.
The budget range you select on the contact form is an indicative signal that helps us scope a conversation. It is not a quotation and does not commit either party to a price.
Fees and payment
- Fees are quoted in the currency agreed in the written scope — usually INR, with USD or AED where the client asks for it.
- Unless the written scope says otherwise, work begins after an advance, with the balance due on the milestones set out in the scope.
- Third-party costs — domains, hosting, app-store developer accounts, plugin and platform licences, stock assets, advertising spend — are the client's own costs and are quoted separately. We will not commit you to a recurring third-party charge without telling you first.
- Where a client delays a project materially — for example by withholding content, feedback or approvals — the timeline moves accordingly and, if the scope allows, a resumption fee may apply.
- Unpaid invoices may result in work being paused, and in published work being taken offline or access being suspended until the balance is settled.
Who owns the work
- On full payment, ownership of the bespoke deliverables created for you — your website design, your code, your content — transfers to you.
- You must hold the rights to anything you give us to build with: logos, photography, copy, product data, brand guidelines. We build in good faith on that basis.
- Open-source frameworks and libraries remain under their own licences. We will tell you which ones are load-bearing in your project and what their obligations are.
- We keep the right to show the work in our portfolio and to describe it in general terms, unless you ask us not to. Say so in the scope and we will not.
- Where a project depends on infrastructure we operate on your behalf — a hosting account, a repository, a database — we hand over credentials and access at the end of the engagement. You are never locked out of your own property.
Client responsibilities
Projects move at the speed of the slower party. We need timely feedback, real content when it is due, access to the systems we are integrating with, and a single person empowered to approve decisions. Claims we cannot substantiate — invented statistics, fabricated client names, guaranteed rankings — will not be published on your site even if requested, because they expose you as well as us.
Confidentiality
Information shared in the course of a project is treated as confidential and used only to deliver it. This applies in both directions. On request we will sign a mutual non-disclosure agreement before detailed discovery begins.
Warranties and what we do not promise
- We warrant that deliverables will be built to the standard described in the scope and will conform to it at handover.
- We do not guarantee search rankings, advertising performance, traffic, conversion rates or revenue. Search engines and ad platforms are third parties we do not control, and anyone who guarantees a ranking is selling you something else.
- Third-party services — hosting, payment gateways, app stores, social platforms, CDN and plugin vendors — are outside our control. We will advise on choices and configure them carefully, but their availability and their terms are theirs.
- Where we take on maintenance, the covered scope is what the maintenance agreement says it is. It is not open-ended support for anything at any hour.
Limitation of liability
Neither party is liable for indirect or consequential loss — lost profits, lost revenue, lost data, lost goodwill, or business interruption — arising out of the engagement, however it is caused. Our total aggregate liability in connection with any project is limited to the fees you actually paid us for that project. Nothing in these terms limits liability for fraud, or for anything that cannot lawfully be limited.
Ending an engagement
- Either party may end a project by written notice, on the terms set out in the written scope.
- Work completed up to the point of cancellation is payable, pro rata to the milestones reached.
- On ending, we hand over the work in progress, the repository and any access we hold, so nothing you paid for is stranded with us.
- The clauses on confidentiality, ownership, limitation of liability and governing law survive the end of the engagement.
Governing law
These terms, and any engagement that does not specify otherwise, are governed by the laws of India. The courts at Alappuzha, Kerala have exclusive jurisdiction. Nothing here removes the protection of mandatory consumer law in your own country where you are contracting as a consumer rather than as a business.
Changes to these terms
We may update this page from time to time. Changes apply to engagements agreed after the update; work already under a signed scope keeps the terms it was agreed on. The current version is always the one published at codevibedigital.com/terms, with the date above.
